- arranging road shows and facilitating one to one interaction;
- receiving term sheet & negotiating structure & valuation;
- finalization of term sheet;
- assisting in due diligence process & responding to investors;
- reviewing legal documents;
- execution of Share Purchase Agreement & any other agreements;
- receiving fund from the investors
Buy & Sell Side Advisory Services:
- evaluating the proposed acquisition/divesture of the Target;
- determining synergistic benefits of this acquisition; assisting in appointing external advisors for conducting due diligence and legal for review of contracts & agreement;
- discussions with representatives of the Target regarding its financial condition, operations, competitive environment, prospects and related matters;
- advising the Company as to the price and structure of the Transaction;
- participation in negotiations with the Target;
- reviewing the definitive agreements drafted by the appointed legal advisors with respect to the Transaction
- and providing such other advisory services reasonably necessary to accomplish the acquisition
